2. Course Description
Neat Roots offers a variety of online courses designed to enhance your skills. Detailed information about each course, including topics, learning objectives, prerequisites, and features, is available on the respective course pages. Information about source code products and their features can be found on the source code information pages.
3. Enrollment and Registration
To enroll, you must meet the eligibility criteria specified for each course and provide accurate registration information. Payment of applicable fees is required to complete registration. Neat Roots reserves the right to accept or reject any application at its sole discretion.
4. Source Code Products
Source code products sold by Neat Roots are provided as-is for your personal or business use according to the license terms specified with each product. Ownership of the source code remains with Neat Roots or its licensors. Redistribution, resale, or sharing of the source code with third parties without explicit permission is strictly prohibited. Misuse or piracy of source code will result in strict legal action. No refunds will be offered for source code products under any circumstances.
5. Course Materials and Intellectual Property
All course content, including videos, documents, presentations, and software, is owned by Neat Roots or its licensors. Materials are for your personal, non-commercial use only. Unauthorized copying, distribution, sharing, or piracy of course materials is strictly prohibited. Any violation will result in strict legal action.
6. Access and Usage
You will receive access to all purchased products, including the Mentorship Program and Source Codes. Access details will be provided via email or other communication methods. You are responsible for maintaining the confidentiality of your access credentials and for any activity under your account. Sharing access with others or misuse of materials is not allowed. If you misuse or do not follow the rules, Neat Roots reserves the right to terminate your access without prior notice.
7. Course Delivery and Support
Courses may be delivered through self-paced formats or instructor-led sessions. Specific timelines will be communicated as applicable. Technical support is available during the course period to assist with access or content-related issues.
8. Assessments and Grading
Where applicable, courses may include quizzes, assignments, or exams. Participants must adhere to submission deadlines. Grading criteria will be shared within the course. Requests for reassessment must be made within the stated timeframe.
9. Code of Conduct
Participants must engage respectfully with instructors and peers. Any form of harassment, abuse, or disruptive behavior will not be tolerated and may result in termination of access.
10. Cancellations
Neat Roots reserves the right to cancel or reschedule courses and will notify participants accordingly.
11. Limitations of Liability
Neat Roots is not liable for any direct or indirect damages arising from technical issues, interruptions, or inaccuracies in course content. We do not guarantee specific outcomes from participation in our courses.
12. Termination of Participation
Neat Roots reserves the right to terminate or suspend your access if you violate these Terms, misuse our services, or fail to comply with our policies, without prior notice.
13. Privacy and Data Protection
Your personal data is handled according to our Privacy Policy. By using our services, you consent to the collection and use of your information as described therein.
14. Amendments and Modifications
Neat Roots may update these Terms at any time. Changes will be communicated via our website or email. Continued use of our services constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws applicable to Neat Roots’ jurisdiction. Any disputes will be resolved in the appropriate courts within this jurisdiction.
16. No Refund Policy
Neat Roots does not offer refunds for courses, source code products, or mentorship programs under any circumstances except for rare cases such as duplicate payments reported within 24 hours.

Terms and Conditions
- By using Neat Roots, you agree to everything below.
- Course access is single-user and capped at one mobile and one desktop device. No sharing logins, no reselling, no redistribution.
- Source code products are licensed for your personal use and your own projects. You may not resell or redistribute them as-is.
- All sales are final, with the limited exceptions described in our Refund Policy.
- We are a US company based in New York. Disputes are governed by New York law and resolved in Suffolk County, NY.
These Terms and Conditions (the "Terms") govern your access to and use of neatroots.com, our mentorship programs, source code products, and related services (collectively, the "Services"), operated by Neat Roots Inc ("Neat Roots", "we", "us", or "our").
By using the Services, creating an account, or purchasing anything from us, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

We operate as an education technology company offering mentorship programs in mobile app development, along with readymade source code products and related digital goods.
2. Definitions
For clarity throughout these Terms:
- "Member" or "Student": anyone who registers for an account, enrolls in a Program, or purchases a Product on the Services.
- "Program": any mentorship program, course, or learning track listed on neatroots.com, whether live, recorded, or hybrid.
- "Source Code Product": any readymade source code, project template, or downloadable digital file sold through Neat Roots.
- "Content": text, video, audio, images, code, designs, and any other material we make available through the Services.
- "Parent": a parent or legal guardian enrolling on behalf of a minor.
3. Eligibility
- Age 18 and over: you may enroll and use the Services on your own behalf.
- Age 13 to 17: you may enroll only with verifiable consent from a Parent or legal guardian. The Parent agrees to these Terms and is the contracting party of record.
- Under age 13: a Parent or legal guardian must enroll on the minor's behalf and remains the account holder of record. We comply with the US Children's Online Privacy Protection Act (COPPA). See our Privacy Policy for details.
You must have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
4. Account registration and responsibilities
To enroll in a Program or purchase certain Products, you must register an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Protect your account credentials and not share them with anyone.
- Notify us immediately at info@neatroots.com if you suspect unauthorized access to your account.
- Be solely responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice, and without refund where termination is for cause.
5. Program access, pricing, and payment
5.1 Program delivery
Programs may be delivered as live cohorts, recorded self-paced content, hybrid formats, or any other format described on the relevant Program page. Schedules, content, and delivery format are subject to change at our discretion to improve quality or respond to operational needs.
5.2 Access duration
The access duration for recordings, community channels, mentor support, and any other Program benefit is described on the relevant Program page at the time of purchase. Unless stated otherwise, recorded content is available for the lifetime of the Program, and community or support access is time-limited as described on the Program page.
5.3 Single-user license and device limit
Program access is granted as a single-user license to the enrolled Student only. You may access Program content from a maximum of two devices: one mobile device and one desktop or laptop device. You may not:
- Share your account credentials with another person.
- Allow another person to use your account.
- Transfer your enrollment to another person.
- Record, download, screen-capture, or redistribute Program content in any form.
Violation of this section is a material breach and grounds for immediate termination of your account without refund.
5.4 Pricing and payment
- All prices are listed on the relevant Program or Product page at the time of purchase and are payable in full at checkout.
- We reserve the right to change pricing at any time. Pricing changes do not affect orders already placed.
- All payments are processed by Stripe or PayPal. We do not see, store, or transmit your card details.
- If a pricing error appears on our site, we reserve the right to cancel the affected order and notify you. You may then choose to proceed at the corrected price or cancel without penalty.
- Sales, discounts, and promotional pricing are at our sole discretion and may be limited by time, quantity, or other conditions.
5.5 Refunds
All purchases are final, with the limited exceptions described in our Refund Policy. By purchasing, you acknowledge and accept that policy.
6. Source code products
Source Code Products are digital goods delivered electronically upon successful payment.
6.1 License grant
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, worldwide license to:
- Use the Source Code Product for your personal learning.
- Modify, extend, and incorporate the code into your own projects, including commercial projects you build for yourself or your clients.
6.2 License restrictions
You may not:
- Resell, sublicense, or redistribute the Source Code Product as-is or in substantially similar form.
- Upload the Source Code Product to public repositories, marketplaces, or file-sharing platforms.
- Remove or alter any copyright notices, license terms, or attribution included in the files.
- Claim authorship of the Source Code Product itself. You may claim authorship of your modifications and original work built on top of it.
6.3 No refunds on Source Code Products
Because Source Code Products are delivered instantly and cannot be returned, all Source Code Product sales are final and non-refundable. Please verify your purchase decision before paying.
7. Intellectual property
All Content available through the Services, including videos, recordings, written materials, slides, code snippets, designs, branding, and the Neat Roots name and logos, is owned by or licensed to Neat Roots Inc and is protected by US and international copyright, trademark, and other intellectual property laws.
Your enrollment grants you a limited, personal, non-exclusive, non-transferable license to access and view Content for your own learning. You retain no other rights. You may not:
- Reproduce, distribute, publish, broadcast, or publicly display Content.
- Create derivative works from Content, other than your own projects built using the skills you learn.
- Use Content to develop competing courses, products, or services.
You are free to use the skills and knowledge you gain. That is the point. The restriction is on the Content itself.
8. User-generated content
When you post, upload, submit, or share any content through our Services, including Discord messages, comments, project showcases, testimonials, support requests, or class participation ("User Content"), you:
- Retain ownership of your User Content.
- Grant Neat Roots a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute it in connection with operating, promoting, and improving the Services. For example, featuring a testimonial on our website or sharing a student project as inspiration.
- Represent that you have the right to grant this license and that your User Content does not infringe anyone else's rights.
You agree not to post User Content that:
- Is illegal, defamatory, harassing, threatening, abusive, obscene, or hateful.
- Infringes any intellectual property right or privacy right.
- Contains malware, viruses, or other harmful code.
- Impersonates another person or misrepresents your affiliation.
- Promotes spam, unsolicited advertising, or competing services.
We may remove User Content and suspend or terminate accounts at our discretion for violations.
9. Prohibited uses
You agree not to:
- Share your account credentials, allow others to use your account, or attempt to access another user's account.
- Resell, sublicense, or redistribute access to Programs, Source Code Products, or Content.
- Record, download, scrape, screen-capture, or republish Program content.
- Use bots, crawlers, scrapers, or other automated tools to access the Services without our written permission.
- Reverse-engineer, decompile, or attempt to extract source code from any portion of the Services.
- Attempt to probe, scan, or test the security of our systems, or breach authentication or security measures.
- Interfere with or disrupt the Services or servers, including via DDoS, malware, or excessive request volume.
- Use the Services to send spam, phishing messages, or unsolicited advertisements.
- Impersonate Neat Roots, our mentors, or any other person or entity.
- Use the Services for any unlawful, fraudulent, or harmful purpose.
- Violate any applicable law, regulation, or third-party right.
Violations may result in immediate suspension or termination, forfeiture of any access fees paid, and legal action where appropriate.
10. Third-party services and links
Our Services integrate with or link to third-party platforms, including Stripe, PayPal, YouTube, Discord, Instagram, WhatsApp, Wordfence, and others. These third parties operate under their own terms and privacy policies, and we are not responsible for their content, practices, or any damages arising from your use of them.
When you click a link, embed, or chat button that redirects you to a third-party platform, your use of that platform is governed solely by that platform's terms.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
Specifically, we make no warranties or guarantees that:
- The Services will be uninterrupted, error-free, or completely secure.
- Specific learning outcomes, certifications, job placements, salary increases, or interview results will follow from any Program or Product.
- The Content will meet your particular requirements or expectations.
- Defects or errors will be corrected within any specific time.
We disclaim, to the maximum extent permitted by law, all warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law:
- Neat Roots Inc, its officers, directors, employees, mentors, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, opportunity, or reputation, arising from your use of the Services, even if we were advised of the possibility.
- Our total aggregate liability to you for any claim arising from these Terms or the Services is limited to the greater of (a) the amount you paid to Neat Roots in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.
Some jurisdictions do not allow certain limitations of liability. Where that applies, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Neat Roots Inc, its officers, directors, employees, mentors, and contractors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Services.
- Your User Content.
- Your violation of these Terms.
- Your violation of any third-party right, including intellectual property or privacy rights.
14. Copyright and DMCA
We respect intellectual property rights. If you believe Content on our Services infringes your copyright, send a DMCA notice to info@neatroots.com including:
- A description of the copyrighted work you claim has been infringed.
- The URL or specific location of the allegedly infringing material.
- Your contact information (name, address, phone, email).
- A statement that you have a good-faith belief that the use is not authorized.
- A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized to act on the owner's behalf.
- Your physical or electronic signature.
We will investigate and respond as required by the Digital Millennium Copyright Act (DMCA).
15. Termination
We may suspend or terminate your account and access to the Services at any time, with or without notice, for any reason. This includes (but is not limited to):
- Material breach of these Terms.
- Account sharing, piracy, or unauthorized redistribution of Content.
- Conduct that harms other users, our mentors, or the integrity of the Services.
- Fraud, chargeback abuse, or payment disputes filed in bad faith.
- Required by law or legal process.
You may close your account at any time by contacting info@neatroots.com. Termination does not entitle you to a refund except as expressly provided in our Refund Policy.
Provisions that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and any accrued payment obligations) will survive.
16. Force majeure
We are not liable for any failure or delay in providing the Services caused by events beyond our reasonable control. These include but are not limited to natural disasters, pandemics, war, civil unrest, government action, internet or hosting outages, payment processor failures, mentor illness or unavailability, or similar events.
Where a live cohort is materially affected by such an event, we will make reasonable efforts to reschedule, provide alternative arrangements, or, where neither is possible, apply the cancellation refund clause of our Refund Policy.
17. Modifications to services and terms
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
We may also update these Terms from time to time. The "Effective Date" at the top reflects the latest revision. Material changes will be communicated through prominent notice on our website or by email to active users where appropriate.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
18. Governing law and dispute resolution
These Terms and any disputes arising from them are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws principles.
You agree that any legal action arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Suffolk County, New York, and you consent to the personal jurisdiction of those courts.
19. Miscellaneous
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision does not waive our right to enforce it later.
- Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Neat Roots regarding the Services, superseding all prior agreements or understandings.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms freely.
- Notices. We may send notices via email to the address associated with your account or by posting to our website. Notices to us must be sent to info@neatroots.com.
